01The agreement

These terms apply between Monova Studios ("we", "us") and the person or organisation named on a proposal or invoice ("you"). They also apply to anyone using this website.
A project starts when you accept a proposal on this website or confirm one in writing. The proposal describes the scope, price and timeline; these terms cover everything else. If the two conflict, the proposal wins.

02Proposals and scope

  • A proposal is valid until the date shown on it. After that we may re-quote.
  • Accepting a proposal means ticking the confirmation on the proposal page and entering your name and email, or telling us in writing that you accept. Either is binding.
  • Work outside the written scope is quoted separately before it starts. Small adjustments are included at our discretion.
  • Timelines assume you provide content, access and feedback when asked. Delays on your side move the timeline by at least the same amount.

03Payment

Deposit
Where a proposal names a deposit, it is due on acceptance and work starts once it has cleared. Deposits are non-refundable once work has begun, because that time cannot be resold.
Balance
The remaining amount is invoiced on delivery and is due before deliverables, source code, hosting or administrative access are handed over, unless the proposal says otherwise.
How to pay
Invoices are paid by card or bank payment through Stripe Payments UK Ltd using the link we send. We never see your card details. Amounts are shown in the currency on the invoice and exclude VAT unless stated.
Late payment
Invoices are due on receipt unless a due date is shown. For balances more than 14 days overdue we may pause work or hosting and charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
Ongoing services
Hosting, maintenance and retainers are billed in advance for each period and continue until either side cancels in writing with 30 days' notice.

04Your responsibilities

  • Provide the text, images, accounts and access the project needs, and confirm you have the right to use them.
  • Review work and give feedback within a reasonable time. Where a proposal lists a number of revision rounds, further rounds are quoted separately.
  • Keep any credentials we give you safe and tell us straight away if they may have leaked.
  • Make sure what you ask us to build complies with the law and with the rules of the platforms it runs on, such as Discord's Terms of Service.

05Ownership and portfolio

Once the final invoice for a project is paid, you own the deliverables created specifically for you: the design, the code we wrote for the project and the content you supplied. Until then they remain ours and are licensed to you for review.
Reusable components, libraries and tooling we bring to a project remain ours, and you receive a perpetual licence to use them as part of the deliverables. Third-party software keeps its own licences.
We may describe and show the work in our portfolio, case studies and proposals, including your name and logo, unless you ask us in writing not to before the project ends.

06Delivery, warranty and support

We fix defects in our own work reported within 30 days of delivery free of charge. After that, changes and fixes are covered by a maintenance arrangement or quoted as new work. Problems caused by third-party changes, such as a platform API update, are not defects but we will quote to resolve them.
Software is delivered as described in the proposal. Beyond that it is provided without warranties of fitness for a particular purpose, to the extent the law allows.

07Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Otherwise, our total liability for a project is limited to the amount you paid us for that project, and we are not liable for lost profits, lost data or indirect losses. You are responsible for keeping backups of your own content and for how you use what we deliver.

08Cancellation

  • You can cancel a project at any time in writing. We invoice for work completed to that point; the deposit covers the first part of that and any excess is invoiced or refunded accordingly.
  • We can cancel if invoices stay unpaid, if the project would require us to break the law or a platform's rules, or if we cannot reach you for 30 days. We will hand over paid-for work.
  • Cancelling a retainer or hosting service takes effect at the end of the period already paid for.

09Using this website

Pages under /i, /f, /s, /quote, /pay and /review are generated for specific people. Do not attempt to guess links, scrape them or interfere with the status page or payment flow. Content on shared pages belongs to its uploader and may be removed at any time.
The website is provided as is. We may change or withdraw any part of it without notice. Our Privacy Policy explains how we handle personal data.

10Governing law and changes

These terms are governed by the law of England and Wales, and its courts have exclusive jurisdiction. If part of these terms is found invalid, the rest still applies.
We may update these terms; the version in force when you accept a proposal applies to that project. Questions: hello@morgan-lee.dev.
